BUSINESS LITIGATION

Cohen Johnson has experience in a broad spectrum of commercial litigation matters. The firm’s commercial practice is diverse, and we regularly represent businesses, both large and small, in prosecuting and defending claims.

REPRESENTATIVE CASES:

  • Cohen Johnson obtained a dismissal of all claims against a NFL team owner who was sued for copyright infringement, fraud, breach of contract and other claims.  The case was tried against the remaining defendants and the plaintiff obtained a $54.2 million Judgment including $46 million in punitive damages.

  • Cohen Johnson obtained a defense verdict for a Hotel Casino that was sued for Trade Secret violations, intentional interference with contract, and other causes of action.  Plaintiff sought in excess of $20 million plus punitive damages.  The case was affirmed by the Nevada Supreme Court and established and clarified law regarding the enforcement of non-competition agreements.  Golden Rd. Motor Inn, Inc. v. Islam, 132 Nev. Adv. Op. 49 (2016).

  • Cohen Johnson obtained the dismissal of a multi-plaintiff case for a Hotel Casino involving approximately 100 plaintiffs after the court had already issued a partial decision awarding in excess of $9,000,000 dollars in damages.

  • Cohen Johnson successfully represented Latoya Jackson in her domestic actions against her former spouse and manager, which involved numerous complicated multijurisdictional business and property issues.

  • Cohen Johnson represented a beneficiary in litigation involving in excess of five hundred million dollars in trust assets. Obtained an accounting of trust assets and investments and enforcement of trust provisions.  Obtained a favorable settlement that required the accounting and enforcement of the trust provisions in favor of the beneficiary.

  • Cohen Johnson obtained a minimal settlement for a client who was sued by an out of state bankruptcy trustee of a billion-dollar bankruptcy estate.  Trustee was seeking in excess of $20 million dollars.

  • Cohen Johnson represented a prominent real estate developer in a professional negligence complaint against an engineering firm involved in a mult-million-dollar real estate development.  Cohen Johnson obtained a very favorable policy limit settlement in the matter.

  • Cohen Johnson obtained a defense verdict for a major real estate developer in an action brought by an alleged partner for ownership of a major shopping center.  Plaintiff sought more than $10 million.

  • Cohen Johnson represented numerous investors in fraud litigation involving business investments in excess of $200 million.  Mr. Johnson obtained non-dischargeable claims for the investors following the filing of a bankruptcy petition by the debtor.

  • Cohen Johnson represented a casino president in a defamation action against an author and publisher who made false allegations against the Plaintiff that endangered the Plaintiffs casino licensing in the judications of Nevada and New Jersey.  Cohen Johnson obtained a full retraction of all allegations and attorney fees.

  • Cohen Johnson represented a property owner whose properties had been encumbered by a lender for millions of dollars through actions of a fraudulent borrower and other defendants.  Cohen Johnson obtained a judgment for the owner clearing title to the properties and removing all encumbrances, in addition to recovering all attorney fees.

  • Represented a Hotel & Casino in a Federal Fair Labor Law action. Plaintiffs sought in excess of $50,000,000. Obtained a dismissal of all actions.

Cohen Johnson has an established Commercial Transactional & Real Estate practice with over 40 years of experience handling commercial & real estate transactions. The firm’s attorneys and support staff are well versed in the complexities of commercial transactions and real estate. Cohen Johnson has represented businesses in the financing and sale of apartment building complexes, mixed-use buildings, office buildings, shopping centers and Hotel Casinos throughout Nevada and in other states.

REPRESENTATIVE TRANSACTIONS:

  • Cohen Johnson has acted as counsel to numerous lenders and borrowers in the negotiation and funding of loans in excess of one billion dollars. 

  • Cohen Johnson acted as counsel to the owner/developers of a gaming hotel property; involving property acquisition, zoning, all agreements, time share and condo issues and initial funding in excess of $500,000,000.

  • Cohen Johnson acted as counsel to the owners and developers of a medical office building for $23,000,000; involving all aspects of land acquisition, zoning, development, construction, partnership agreements, leasing and financing.

  • Cohen Johnson acted as counsel to owners and developers of a project involving the assemblage and acquisition of resort gaming properties in excess of $90,000,000; involving zoning, financing, easements, agreements for moving NV Energy sub-station, purchase of existing business and termination of existing leases and other related issues.

  • Cohen Johnson acted as counsel to the owners in an acquisition of a 136 unit apartment complex for $16,000,000; involving financing, rehab construction and other related issues.

  • Cohen Johnson acted as counsel to the owners in an acquisition of a 232 unit apartment complex for $24,000,000; involving financing, termination of leases, FCC issues and other related matters.

  • Cohen Johnson acted as counsel to a number of Hotel Casino properties involving the acquisition or sale of operating Hotel Casino properties in excess of $450,000; also involving associated gaming law matters.

  • Cohen Johnson acted as counsel to the seller in a sale of a shopping center for $9,000,000; involving all aspects of the sale including all sales agreements; tenant leasing issues and other related matters.

  • Cohen Johnson acted as counsel to the owner and developer of a $25,000,000 mixed use project including retail and office space; involving acquisition of land, zoning, financing, leasing and other related matters.
